By-laws of the Rochester Area Colored Pencil Club
Founded in 2006
PURPOSE: To inform and educate ourselves and the community in order to promote, support and enjoy colored pencil art at all levels.
ARTICLE I: Name
The name of this organization shall be the Rochester Area Colored Pencil Club (RACPC). If at some later date the RACPC becomes affiliated with the Colored Pencil Society of America, the name may change as determined by that national organization.
ARTICLE II: Membership
Section 1: Qualifications for membership shall be:
a. Age 18 or older
b. Payment of dues annually as indicated in Article III.
c. An earnest desire to participate in the activities of the Club.
Section 2: All members shall receive copies of the By-laws, a Membership Directory, and other general communications. (These may be done electronically.)
Section 3: Visitors and guests shall be allowed to attend any General meeting without requiring that they become members. Only members may attend Board meetings.
Section 4: Application to become affiliated with the Colored Pencil Society of America shall be made if approved by a 2/3 vote of the General Membership.
ARTICLE III: Dues
Section 1: The Membership Chair will collect dues in an amount and manner that the Board shall establish and may amend from time to time.
Section 2: The fiscal year shall be from June 1st to May 31st.
ARTICLE IV: Meetings
Section 1: The club shall strive to meet at least four times per year from September to June.
Section 2: The announcement of new officers shall be held at the May meeting.
Section 3: All accounts, reports and records shall be brought up to date and made available to the members at the May meeting. Upon completion of office, all officers shall turn over all records to his/her successor.
ARTICLE V: Officers
Section 1: The Executive Board shall be: President, Vice President, Secretary, Communications Chair, Treasurer, Program Chair and Membership Chair.
Section 2: Any Executive Board member may hold more than one Board position. The Executive Board shall remain with an odd total number of members. Each Board member shall have one vote regardless of the number of positions held.
Section 3: All officers shall serve for a term of one year. Officers may serve in the same office for more than one term.
Section 4: Announcement of the slate of officers for the following year shall be made at the May meeting. All members shall have the opportunity to hold office.
Section 5: Officers shall assume their duties on June 1st.
Section 6: Vacancies in offices that occur before the end of the term of office shall be filled by appointment of the Executive Board.
ARTICLE VI: Executive Board
Section 1: The Executive Board shall consist of the officers of the Club as indicated in Article V, Section 1.
Section 2: The Executive Board shall have the power to conduct, manage and control the business and affairs of the Club subject to the By-laws.
Section 3: The Executive Board shall meet at determined by the Board Officers.
ARTICLE VII: Duties of Officers
Section 1: The President shall preside at all meetings of the Club, oversee and coordinate the activities of the Executive Board, be a member ex-officio of all committees, and shall appoint the chairpersons of all ad-hoc committees. The President shall keep the purpose and meaning of the organization before the Board members and gain the cooperative effort of the Board to achieve the Club’s objectives.
Section 2: In the incapacity of the President, the Vice President shall have the powers and perform all the duties of the President. The Vice President shall perform other duties that the President or Executive Board shall deem from time to time.
Section 3: The Secretary shall write the minutes of all meetings of the Club and of the Executive Board. He/She shall distribute the minutes to the officers and shall retain a permanent file of the minutes. In the absence of the Secretary, the President will appoint a substitute.
Section 4: The Communications Chair shall oversee and coordinate the communications to the membership and to other organizations with any other communication approved by the Executive Board. He/She shall retain a permanent file of all documents sent and received.
Section 5: The Treasurer shall oversee and coordinate the finances of the Club. He/She shall have charge of all of the Club’s funds. He/She shall receive dues from the Membership Chair, expend money on the order or approval of the Executive Board, shall submit a written report of the fiscal transactions when called for from the President and be prepared to give an oral report to the General membership when requested.
Section 6: The Program Chair shall be responsible for speakers/demonstrations at meetings of the General membership. He/She shall plan and arrange for general membership meetings from September to June.
Section 7: The Membership Chair shall be responsible for:
a. providing renewal forms to the General membership.
b. providing new applicant forms and general information to prospective members.
c. maintaining a current database of the General membership
d. collecting membership dues and providing an accounting to the club Treasurer.
e. Publishing a membership directory annually (which may be done electronically).
ARTICLE VIII: Standing Committees
Section 1: Standing committees shall be created by the Executive Board, as necessitated, to promote objectives and interests of the Club.
Section 2: The chairpersons of standing committees shall be derived from volunteerism within the General membership.
Section 3: The term of the standing committee chairperson shall be for one year or for the duration of the project.
Section 4: It shall be the responsibility of the standing committee chairperson to submit reports, financial information and all pertinent materials to the President within one month of completion of committee duties.
ARTICLE IX: Amendments
Section 1: These By-laws may be amended, or repealed only by a vote of two-thirds majority of those voting members present at any regular or special meeting thereof, provided that a full statement of the proposed change appears in the written notice calling the members and that notice is given or delivered to each voting member at least two weeks prior to the date of the meeting.
